GENERAL

Events Outside Our Reasonable Control

Neither party will be treated as having breached these Terms solely because performance has been prevented or materially delayed by an event reasonably outside that party's control.

This may include severe weather, natural disaster, emergency, government restriction, major infrastructure disruption, unexpected site closure or similar events.

The affected party must take reasonable steps to minimise the impact and resume performance where practicable. This section does not remove statutory rights that cannot legally be excluded.

Communications and Electronic Documents

The client agrees that ARP may communicate by email, telephone, SMS or other reasonable electronic means in connection with quotations, bookings, site attendance, invoices and deliverables.

Electronic copies of quotations, invoices, drawings, reports and other documents may be treated as valid communications and documents to the extent permitted by law.

Severability and No Waiver

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision is to be read down or severed to the minimum extent necessary, and the remaining provisions continue to apply.

A failure or delay by ARP to exercise a right under these Terms does not operate as a waiver of that right.

Changes to these Terms and Governing Law

ARP may update these Terms from time to time. The version applying to a particular engagement will ordinarily be the version in effect when the quotation or engagement is accepted, unless the parties agree otherwise.

These Terms are governed by the laws applying in New South Wales, Australia. The parties submit to the jurisdiction of courts and tribunals having jurisdiction in New South Wales.
